Patanjali Gets IRDAI Nod For Rs 4,500 Crore Magma General Insurance Deal

Mumbai: Patanjali Ayurved has received approval from the Insurance Regulatory and Development Authority of India (IRDAI) to acquire a controlling stake in Magma General Insurance in a rs 4,500 crore deal, marking the company’s entry into India’s general insurance sector.

The regulator has approved the acquisition by Patanjali Ayurved and the DS Group, with the transaction expected to be completed within three months, subject to IRDAI’s conditions.

Under the approved structure, Patanjali will acquire a 73.56% stake in Magma General Insurance, while the DS Group will hold 24.50%, giving the two companies a combined stake of over 98%. The shares are being acquired from Sanoti Properties LLP, backed by the Adar Poonawalla Group, and other existing shareholders.

The acquisition marks Patanjali’s first major foray into financial services. Instead of applying for a new insurance licence, the company has opted to acquire an existing insurer with an established nationwide presence.

Magma General Insurance offers motor, health, property, marine, fire and liability insurance through an extensive distribution network across India. The company reported gross written premium of rs 3,615.48 crore in FY26, up from rs 3,334.40 crore in FY25, reflecting steady business growth.

Industry experts believe Patanjali’s strong retail presence, particularly in tier-II, tier-III and rural markets, could help Magma expand its customer base and improve insurance penetration in underserved regions.

The DS Group is also expected to strengthen the insurer with its financial backing and diversified business experience.

For existing policyholders, there will be no immediate change. Insurance policies, claims and customer services will continue as usual until the acquisition is completed and the new promoters formally take charge.

The deal reflects the growing interest of large Indian business groups in the insurance sector, where rising demand for health, motor and property insurance is creating long term growth opportunities.

With regulatory approval now secured, Patanjali has taken a significant step into one of India’s fastest growing financial sectors, expanding beyond its core consumer goods business into insurance.
